1.  

a) Tato směrnice se vztahuje na veškeré převody podniku, závodu nebo části podniku nebo závodu na jiného zaměstnavatele, které vyplývají ze smluvního převodu nebo sloučení;

b) S výhradou písmene a) a následujících ustanovení tohoto článku se převodem podle této směrnice rozumí převod hospodářské jednotky, která si zachovává svou identitu, považované za organizované seskupení prostředků, jehož cílem je vykonávat hospodářskou činnost jako činnost hlavní nebo doplňkovou;

c) Tato směrnice se vztahuje na veřejné a soukromé podniky vykonávající hospodářskou činnost s cílem dosáhnout zisku nebo bez tohoto cíle. Správní reorganizace orgánů veřejné správy nebo převod správních funkcí mezi orgány veřejné správy není převodem ve smyslu této směrnice.

2.  Tato směrnice se použije, pokud podnik, závod nebo část podniku nebo závodu, které mají být převedeny, spadají do oblasti územní působnosti Smlouvy.

3.  Tato směrnice se vztahuje na převod námořního plavidla, které je součástí převodu podniku, závodu nebo části podniku nebo závodu ve smyslu odstavců 1 a 2, jestliže se nabyvatel nachází nebo převedený podnik, závod nebo část podniku nebo závodu zůstává v oblasti územní působnosti Smlouvy.

Tato směrnice se nepoužije, je-li předmětem převodu výhradně jedno nebo více námořních plavidel.

Article 1 1.
(a) 

This Directive shall apply to any transfer of an undertaking, business, or part of an undertaking or business to another employer as a result of a legal transfer or merger.

(b) 

Subject to subparagraph (a) and the following provisions of this Article, there is a transfer within the meaning of this Directive where there is a transfer of an economic entity which retains its identity, meaning an organised grouping of resources which has the objective of pursuing an economic activity, whether or not that activity is central or ancillary.

(c) 

This Directive shall apply to public and private undertakings engaged in economic activities whether or not they are operating for gain. An administrative reorganisation of public administrative authorities, or the transfer of administrative functions between public administrative authorities, is not a transfer within the meaning of this Directive.
Article 1 2.
This Directive shall apply where and in so far as the undertaking, business or part of the undertaking or business to be transferred is situated within the territorial scope of the Treaty.
Article 1 3.
This Directive shall apply to a transfer of a seagoing vessel that is part of a transfer of an undertaking, business or part of an undertaking or business within the meaning of paragraphs 1 and 2, provided that the transferee is situated, or the transferred undertaking, business, or part of an undertaking or business remains, within the territorial scope of the Treaty.

This Directive shall not apply where the object of the transfer consists exclusively of one or more seagoing vessels.
