6.5 Ar brokeru sabiedrību saistīto risku novērtēšana

6.5.1 Vispārīgi apsvērumi

213. Kompetentajām iestādēm jānovērtē ar brokeru sabiedrību saistītie riski, kas izriet no dažādiem riska faktoriem, piemēram: operacionālie riski, ko rada dienas tirdzniecības plūsma (DTF), koncentrācijas risks, ko rada lielie riska darījumi (CON), un riska darījums sabiedrības tirdzniecības darījumu partneru saistību neizpildes gadījumā (TCD). Savā novērtējumā kompetentajām iestādēm jāņem vērā arī riska avoti ieguldījumu brokeru sabiedrībai, piemēram, būtiskas izmaiņas aktīvu bilances vērtībā, klientu vai darījumu partneru maksātnespēja, finanšu instrumentu, ārvalstu valūtu un preču pozīcijas un saistības pret definētu pabalstu pensiju shēmām saskaņā ar Direktīvas (ES) 2019/2034 29. pantu. Attiecīgā gadījumā tām jāapsver arī citi faktori, kas var radīt risku ieguldījumu brokeru sabiedrībai. 214. Novērtējot ar brokeru sabiedrību saistītos risku s , kompetentajām iestādēm jāņem vērā ieguldījumu brokeru sabiedrības darbību apjoms, veids un sarežģītība.

6.5.2 Piemītošo ar brokeru sabiedrību saistīto risku novērtēšana

215. Novērtējot piemītošo ar brokeru sabiedrību saistīt o risku, kompetentajām iestādēm jānosaka galvenie virzītājspēki un jānovērtē šā riska prudenciālās ietekmes nozīmīgums ieguldījumu brokeru sabiedrībai. Piemītošo ar brokeru sabiedrību saistīt o risku novērtēšana jāsadala šādos galvenajos posmos:

  • a. sākotnējais novērtējums;
  • b. to ieguldījumu darbību rakstura un mēroga novērtējums, kas rada risku ieguldījumu brokeru sabiedrībai;
216. Kompetentajām iestādēm jānovērtē ar brokeru sabiedrību saistīt os risku s gan no pašreizējā, gan nākotnes viedokļa. 217. Vajadzības gadījumā kompetentajām iestādēm jāveic arī detalizētāks novērtējums, iespējams, atsevišķu klientu līmenī.
61

Sākotnējais novērtējums

218. Lai noteiktu a r brokeru sabiedrību saistīto risku novērtējuma tvērumu, kompetentajām iestādēm vispirms jāapzina ar brokeru sabiedrību saistīto risku avoti, kuriem ieguldījumu brokeru sabiedrība ir vai var būt pakļauta. 219. Kompetentajām iestādēm jāņem vērā vismaz:

  • a. komercdarbības modelis un vēlme uzņemties risku;
  • b. K- faktora summas pakāpe ar brokeru sabiedrību saistītajiem riskiem salīdzinājumā ar kopējo K - faktora summu;
  • c. K- faktora summas ar brokeru sabiedrību saistītajiem riskiem prognozes, ja tādas ir pieejams;
  • d. ieguldījumu brokeru sabiedrības darbības zaudējumu izmaksas pret ieņēmumiem. 220. Kompetentajām iestādēm jāveic sākotnējā analīze, apsverot iepriekš minētās izmaiņas laika gaitā, lai veidotu pamatotu priekšstatu par ieguldījumu brokeru sabiedrības ar brokeru sabiedrību saistītā risk a galvenajiem virzītājspēkiem.

Dienas tirdzniecības plū sma

222. Kompetentajām iestādēm attiecīgā gadījumā jākoncentrējas uz šiem piemītošā riska avotiem:

  • a. veikto darījumu apjoms, pakļautība riskam, skaits un sarežģītība;
  • b. IT sistēmu nepieejamība vai integritātes zudums;
  • c. finanšu tirgus infrastruktūru (FMI) veidi, ko izmanto darījumu apstrādei: balss, elektroniskās platformas (MTF, OTF) ;
  • d. algoritmiskā tirdzniecība.

Koncentrācijas risks

223. Kompetentajām iestādēm jāizdara secinājumi par koncentrācijas riska pakāpi, kādai pakļauta ieguldījumu brokeru sabiedrība. Konkrētāk, kompetentajām iestādēm būtu jānovērtē risks, ka ieguldījumu brokeru sabiedrība cietīs ievērojamus zaudējumus, kas izriet no riska darījumu koncentrācijas ar nelielu darījumu partneru grupu vai ar cieši saistītiem finanšu aktīviem. 224. Kompetentajām iestādēm jāveic šis novērtējums, ņemot vērā dažādas koncentrācijas riska kategorijas, tai skaitā:

  • a. individuālās koncentrācijas risks (ieskaitot klientu vai savstarpēji saistītu klientu grupu, kas definēti lieliem riska darījumiem);
  • b. nozaru koncentrācijas;
  • c. ģeogrāfiskas koncentrācijas;
  • d. produktu koncentrāciju; un
62
  • e. nodrošinājuma un garantiju koncentrāciju. 225.

228. Minētajā novērtējumā kompetentajām iestādēm attiecīgā gadījumā jākoncentrējas uz šādiem piemītošā riska avotiem:

  • a. darījumu partneru kvalitāte un attiecīgās kredīta vērtēšanas korekcijas (KVK);
  • b. darījumu pamatā esošo finanšu instrumentu sarežģītība;
  • c. korelācijas risks, kas izriet no pozitīvās korelācijas starp darījuma partnera kredītrisku un kredītriska darījumiem;
  • d. darījuma partnera kredītriska un norēķinu riska apjoms attiecībā gan uz pašreizējo tirgus vērtību, gan uz nominālvērtības apjomu, salīdzinot ar kopējo kredītriska riska darījumu vērtību un pašu kapitālu;
  • e. veikto darījumu īpatsvars, izmantojot finanšu tirgus infrastruktūras (FTI), kas nodrošina maksājumu pret piegādes norēķinu darījumus;
  • f. attiecīgo darījumu īpatsvars centrālajiem darījumu partneriem ( CCP ) un to zaudējumu aizsardzības pasākumu efektivitāte, piemēram, drošības rezerves līmeņi un saistību neizpildes fonda ieguldījums; un
  • g. savstarpējo prasījumu ieskaita līgumu (noslēguma savstarpējo prasījumu ieskaita) es am ība, nozīmīgums, efektivitāte un izpildāmība.

Būtiskas izmaiņas aktīvu uzskaites vērtībā

229. Kompetentajām iestādēm jāizdara secinājumi par riskiem, kas ieguldījumu brokeru sabiedrībai rodas aktīvu bilances vērtības būtisku izmaiņu dēļ. Šis risks var radīt zaudējumus, ja vērtība, kādā aktīvi tiek reģistrēti, pienācīgi neatspoguļo to reālo tirgus vērtību. 230.

Kredītrisks (klientu vai darījuma partneru maksātnespēj a)

231. Kredītrisks var rasties, piešķirot aizdevumus, lai klients varētu veikt darījumu, tiešus aizdevumus personālam, tekošās dienas kredītrisku pārtēriņa, garantijas un iespējamo kredītriska darījumu dēļ, turot līdz termiņa beigām vai nelikvīdas obligāciju pozīcijas,

63

piešķirot maržinālos aizdevumus klientiem, turot uzkrājošas/nesamaksātas maksas un komisijas maksas, veicot tiešus kredītriska darījumus to pārvaldītajos fondos, izmantojot aizdevumus, sākotnējos ieguldījumus un garantijas. 232.

  • a. kredītriska veids ieguldījumu brokeru sabiedrībā, ņemot vērā darījuma partneru un riska darījumu veidus;
  • b. ārpusbilances riska darījumi, jo īpaši sniegtās vai saņemtās garantijas;
  • c. vērtības samazināšanās risks. 233. Kompetentajām iestādēm jāizdara secinājumi par aktīvu vērtības samazināšanās vai nolietojuma riska pakāpi ārpus tirdzniecības portfeļa, ko neaptver K faktori, piemēram, K - TCD. Šo risku var radīt pārvērtēšana, ja, piemēram, darījuma partnera saistību neizpildes varbūtība būtiski palielinās vai meitasuzņēmuma vērtība kopš iegādes ‑ ir samazinājusies.

234. Kompetentajām iestādēm attiecīgā gadījumā jākoncentrējas uz šiem piemītošā riska avotiem:

  • a. darījumu partneru kredītspējas izmaiņas;
  • b. darījumu sarežģītība un augsts sviras efekts (jo īpaši pirkšana ar aizņēmumu ( LBO ));
  • c. ārkārtēji notikumi, kas izraisa pārvērtēšanu.

Pozīcijas finanšu instrumentos, ārvalstu valūtās un precēs

235. Kompetentajām iestādēm būtu jāizdara secinājumi par riskiem, kas ieguldījumu brokeru sabiedrībai rodas finanšu instrumentu, ārvalstu valūtu un preču riska darījumu dēļ. Šie riska avoti var radīt zaudējumus nelabvēlīgu izmaiņu gadījumā finanšu tirgū, valūtu tirgū un preču tirgos. 236.

  • a. ieguldījumu brokeru sabiedrībai ir stabila, skaidri formulēta un dokumentēta riska stratēģija attiecībā uz tirdzniecības plūsmu, koncentrāciju un darījumu partneru saistību neizpildi, ko apstiprinājusi tās vadības struktūra;
  • b. ieguldījumu brokeru sabiedrības riska stratēģija pienācīgi atspoguļo līmeni, kādā sabiedrība vēlas uzņemties šos riskus, un tas atbilst vispārējai vēlmei uzņemties risku;
  • c. ieguldījumu brokeru sabiedrībai ir atbilstošs organizatoriskais satvars koncentrācijas un darījumu partneru saistību neizpildes risku pārvaldībai, mērīšanai, uzraudzībai un kontrolei ar pietiekamiem (gan kvalitatīviem, gan kvantitatīviem) cilvēkresursiem un tehniskajiem resursiem;
  • d. ieguldījumu brokeru sabiedrība ir skaidri definējusi politiku un procedūras a r brokeru sabiedrību saistīto risku apzināšanai, pārvaldībai, novērtēšanai un kontrolei, tostarp ierobežojumus, kas atspoguļo vadības struktūra s noteikto vēlmi uzņemties risku;

Prudent valuation of the trading book positions

205. Competent authorities should form a view on the prudent valuation framework of the investment …

Competent authorities should form a view on the prudent valuation framework of the investment firm, as a flawed valuation process may lead to errors in the calculation of the exit value of financial instruments leading to an underestimation of potential losses of the investment firm. While performing this analysis, competent authorities should pay particular attention to the calculation of reserves (notably fair value reserves, model reserves) and their potential impact on the capital position of the investment firm.

206. Competent authorities should assess whether the investment firm’s trading book positions are …

Competent authorities should assess whether the investment firm’s trading book positions are valued at a prudent value that achieves an appropriate degree of certainty having regard to the dynamic nature of trading book positions. The level of certainty referred to in Commission Delegated Regulation 2016/10120 should be considered to achieve an appropriate degree of certainty for this purpose.

20 Commission Delegated Regulation (EU) 2016/101 of 26 October 2015 supplementing Regulation (EU) No 575/2013 of the European Parliament and of the Council with regard to regulatory technical standards for prudent valuation under Article 105(14) (OJ L 021 28.1.2016, p. 54).

  • a. unearned credit spreads;
  • b. close-out costs;
  • c. operational risks;
  • d. market price uncertainty;
  • e. early termination;
  • f. investing and funding costs;
  • g. future administrative costs; and
  • h. where relevant, model risk.

Competent authorities should assess whether:

  • a. the governance arrangements, processes and procedures related to valuation adjustments are sufficiently sound, especially with regard to less liquid positions, and consistent with the investment firm’s strategy;
  • b. the IT systems and processes linked to the valuation framework are robust;
  • c. the adequacy of the adjustments performed by the investment firms is periodically reviewed.

Competent authorities should assess the risk relating to the underestimation of own funds requirements by regulatory approved internal models used, notably internal ratings-based (IRB) approach, IRC, models used for the purpose of credit risk mitigation, VaR and sVaR.

6.4.3 Assessment of Risk-to-Market management and controls

210. To achieve a comprehensive understanding of the investment firm’s market risk profile …

To achieve a comprehensive understanding of the investment firm’s market risk profile, competent authorities should review the governance and risk management framework underlying its market activities. To this end, competent authorities should assess the following elements while taking into account the volume, nature and complexity of the investment firm’s activities:

  • a. the investment firm has a sound, clearly formulated and documented market risk strategy, approved by their management body;
  • b. the investment firm’s market risk strategy properly reflects the investment firm’s appetite for market risk and is consistent with the overall risk appetite;
  • c. the investment firm has an appropriate organisational framework for market risk management, measurement, monitoring and control functions, with sufficient (both qualitative and quantitative) human and technical resources;
  • d. the investment firm has clearly defined policies and procedures for the identification, management, measurement and control of market risk, including limits reflecting the risk appetite approved by the management board;
  • e. the investment firm has an appropriate framework for identifying, understanding and measuring market risk, in line with the investment firm’s size and complexity, and that this framework is compliant with relevant requirements in accordance with the relevant EU and national implementing legislation; and
  • f. the investment firm has a strong and comprehensive control framework and sound safeguards to mitigate its market risk in line with its market risk management strategy and risk appetite.

6.4.4 Summary of findings and scoring

211. Following the above assessment, competent authorities should form a view on the investment …

Following the above assessment, competent authorities should form a view on the investment firm’s market risk. This view should be reflected in a summary of findings, accompanied by a risk score based on the considerations specified in Table 6. If, based on the materiality of certain risk factors, competent authorities decide to assess and score them individually, the guidance provided in this table should be applied, as far as possible, by analogy.

212. Competent authorities should consider all these factors in parallel and not in isolation and …

Competent authorities should consider all these factors in parallel and not in isolation and understand the drivers behind Risk-to-Market.
