6.6 Citu risku novērtēšana
6.6.1 Vispārīgi apsvērumi 242. Kompetentajām iestādēm jānovērtē to citu risku nozīme uz ieguldījumu brokeru sabiedrības kapitālu, uz kuriem neattiecas 1. pīlāra pašu kapitāla prasības saskaņā ar Direktīvas (ES) 2019/2034 36. un 40. pantu. Novērtējot šos citus riskus, kompetentajām iestādēm jāņem vērā ieguldījumu brokeru sabiedrības darbības veids un sarežģītība, kas ietekmē šo risku nozīmīgumu. 6.6.2 Piemītošo risku novērtēšana 243. Novērtējot piemītošos riskus, kas nav segti ar 1. pīlāra pašu kapitāla prasībām, kompetentajām iestādēm jānosaka galvenie ieguldījumu brokeru sabiedrības risku virzītājspēki un jānovērtē šo risku ietekmes nozīmīgums ieguldījumu brokeru sabiedrībai. Šādu risku novērtējums jāstrukturē šādos galvenajos posmos : - a. sākotnējais novērtējums;
- b. to ieguldījumu darbību veida un mēroga novērtējums, kas rada risku ieguldījumu brokeru sabiedrībai, kas nav segts ar 1. pīlāra pašu kapitāla prasībām;
- c. sistēmu un procesu novērtējums saistībā ar minētajām darbībām. 244. Kompetentajām iestādēm jānovērtē riski, kas nav segti ar 1. pīlāra pašu kapitāla prasībām, gan no pašreizējā, gan perspektīvas viedokļa. 245. Attiecīgā gadījumā kompetentajām iestādēm būtu jāveic arī to citu risku novērtēšana, kas nav uzskaitīti šajā nodaļā.
Sākotnējais novērtējums 246. Lai noteiktu to risku novērtējuma tvērumu, kas nav segti ar 1. pīlāra pašu kapitāla prasībām, kompetentajām iestādēm vispirms jānosaka riska avoti, kuriem ieguldījumu brokeru sabiedrība ir vai var būt pakļauta. 247. Kompetentajām iestādēm jāņem vērā vismaz: - a. darījumdarbības modelis un vēlme uzņemties risku;
- b. IT risinājumu iekšēja izstrāde vai nodošana ārpakalpojumiem;
- c. atbalsta funkcijas, piemēram, atbilstības, juridiskās, fiskālās funkcijas (arī, ja nodotas ārpakalpojumiem);
- d. izskatīšanā esošu lietu un tiesvedības izmaksas;
- e. kopējie darbības zaudējumi, tostarp zaudējumi iekšējās un ārējās krāpšanas dēļ ;
- f. netirdzniecības portfeļa darbību joma. 248. Kompetentajām iestādēm jāveic sākotnējā analīze, apsverot iepriekš minētās izmaiņas laika gaitā, lai veidotu pamatotu viedokli par ieguldījumu brokeru sabiedrības citu risku galvenajiem virzītājspēkiem .
Procentu likmju risks, ko rada netirdzniecības portfeļa darbības 249. Kompetentajām iestādēm jānovērtē procentu likmju risks, ko rada netirdzniecības portfeļa darbības, kurām ieguldījumu brokeru sabiedrība ir pakļauta. 250. Kompetentajām iestādēm jānovērtē, kā procentu likmju izmaiņas var negatīvi ietekmēt ieguldījumu brokeru sabiedrības aktīvus, saistības un ārpusbilances risk a darījumus. Lai precīzāk noteiktu ieguldījumu brokeru sabiedrības sarežģītību un procentu likmju riska profilu, kompetentajām iestādēm ir arī jāizprot ieguldījumu brokeru sabiedrības aktīvu, saistību un ārpusbilances riska darījumu galvenās iezīmes. 251. Kvant itatīvajā novērtējumā kompetentajām iestādēm būtu jāņem vērā ieguldījumu brokeru sabiedrības iekšējās metodoloģijas rezultāti, mērot tos procentu likmju riskus, kas izriet no netirdzniecības portfeļa darbībām. Turklāt kompetentajām iestādēm jāapsver piemēroti satricinājuma scenāriji, ņemot vērā pakļautības procentu likmju riskam, ko rada ieguldījumu brokeru sabiedrības netirdzniecības portfeļa darbības, raksturu. Operacionālie riski, kas nav segti ar 1. pīlāru 252. Kompetentajām iestādēm jānovērtē operacionālie riski, kas nav segti ar minimālajām pašu kapitāla prasībām saskaņā ar Regulu (ES) 2019/2033. Šie riski var radīt tiešus operacionālus zaudējumus un netiešus zaudējumus, kas rodas sūdzību un tiesvedības rezultātā. Lieli operacionālie riski var izraisīt arī darbinieku trūkumu galvenajos amatos. Novērtējumā jāņem vērā ne tikai operacionālie zaudējumi, bet arī gandrīz pieļautas kļūdas bez zaudējumiem un operacionālā riska notikumi, kas beigušies ar guvumu. 253. Kompetentajām iestādēm jāapsver zemāk minētie piemītošā riska avoti un attiecīgā gadījumā jākoncentrē novērtējums uz tiem aspektiem, kurus uzskata par būtiskākajiem ieguldījumu brokeru sabiedrībai: - a. drošība darba vietā;
- b. fizisko aktīvu bojājumi;
- c. iekšēja krāpšana;
- d. ārēja krāpšana;
- e. IKT riski;
- f. rīcības risks;
- g. regulatīvie, juridiskie un fiskālie riski;
- h. modeļa risks attiecībā uz modeļiem, ko izmanto darījumdarbības nolūkiem;
- i. nepietiekami (gan kvalitatīvi, gan kvantitatīvi) cilvēkresursi un tehniskie resursi galvenajos amatos;
- j. reputācijas risks. 254. Kā daļa no visiem SREP novērtējumiem kompetentajām iestādēm būtu jāizdara secinājumi par IKT riska pakāpi un IKT darbību atbilstību darījumdarbības stratēģijai. Kompetentajām iestādēm savā novērtējumā jāiekļauj visi būtiskie IKT riska aspekti, piemēram, drošības risks, IT projektu risks un IKT pārvaldības risks, ciktāl uz to jau neattiecas citas šo pamatnostādņu daļas, un ņemot vērā EBI pamatnostādnes par IKT un drošības risku19 un EVTI pamatnostādnes par ārpakalpojumiem nodošanu mākoņpakalpojumu sniedzējie m20 ; 255. Kompetentajām iestādēm jāizdara secinājumi par rīcības riska pakāpi, kas saistīta ar ieguldījumu brokeru sabiedrības ieguldījumu un tirgus darbībām, ciktāl to neaptver 1. pīlārā noteiktās pašu kapitāla prasības. Ar rīcības risku jāsaprot pašreizējais vai paredzamais risks, kas rodas klientiem, tirgiem vai pašai ieguldījumu brokeru sabiedrībai sabiedrības pašas vai tās darbinieku neatbilstošas rīcības dēļ. Šo risku var izraisīt tīšu pārkāpumu, vai pārkāpumu aiz nevērības gadījumi (tostarp neatbilstoša finanšu pakalpojumu sniegšana) tādā apmērā, kas var radīt negatīvu finansiālu vai reputācijas

Šis reputācijas risks savukārt var izraisīt tirgus daļu vai galveno klientu zaudēšanu un klientu sūdzību skaita pieaugumu. 256. Kompetentajām iestādēm attiecīgā gadījumā jākoncentrējas uz šādiem piemītošā rīcības riska avotiem: - a. fonda slēgšana vai apturēšana;
- b. pārkāpumu skaits — nepareiza pārdošana, tirgus manipulācijas;
- c. radušās regulatīvās sankcijas. 257. Kompetentajām iestādēm jāizdara secinājumi par regulatīviem, juridiskiem un fiskāliem riskiem, ko rada likumu vai noteikumu neievērošana. Šo risku rezultātā ieguldījumu brokeru sabiedrībai var rasties tiesvedība un tikt piemēroti sodi. Lieli izdevumi var rasties arī korektīvām programmām, lai izpildītu likumus un noteikumus. 258. Kompetentajām iestādēm attiecīgā gadījumā jākoncentrējas uz šiem piemītošo regulatīvo, juridisko un fiskālo risku avotiem:
- a. izmaksas, lai panāktu atbilstību piemērojamajiem noteikumiem;
- b. naudas sodu vai citu sankciju samaksa par neatbilstību;
- c. nodokļu pārvērtēšana vai nokavējuma nodevu, naudas sodu un sodu samaksa;
- d. ieguldījumu brokeru sabiedrībai būtisku regulatīvo izmaiņu paredzēšana. 259. Kompetentajām iestādēm jānovērtē risks, kas saistīts ar modeļiem, kurus izmanto darījumdarbības nolūkos, tostarp vērtēšanas/cenu noteikšanas modeļiem, algoritmiskās tirdzniecības modeļiem un citiem modeļiem, kas var būtiski ietekmēt ieguldījumu brokeru sabiedrības darījumdarbības lēmumus un darbības. 260. Ņemot vērā ieguldījumu brokeru sabiedrības īpatnības, to risku novērtējumā, kuri nav segti ar 1. pīlāra pašu kapitāla prasībām, kompetentās iestādes var apsvērt citus riska avotus, kas nav iekļauti iepriekš minētajās kategorijās.
Sistēmiskais risks 261. Pamatojoties uz kvantitatīviem un kvalitatīviem kritērijiem, kompetentajām iestādēm jāizdara secinājumi par ieguldījumu brokeru sabiedrības sistēmisko risku. Uz šā novērtējuma pamata kompetentajām iestādēm būtu jānosaka, vai ieguldījumu brokeru sabiedrības maksātnespēja var izraisīt būtiskus traucējumus finanšu tirgos, kuros ieguldījumu brokeru sabiedrība darbojas. 262. Attiecīgā gadījumā sistēmiskā riska novērtējumu var veikt apkopotā veidā ieguldījumu brokeru sabiedrību grupai ar līdzīgu darījumdarbības modeli un riska profilu. Veicot šādu apkopotu novērtējumu, kompetentajām iestādēm jāņem vērā iespējamā ietekme, ko uz finanšu tirgiem, kuros tās darbojas, varētu radīt noteikta skaita/daļu šo ieguldījumu brokeru sabiedrību vienlaicīga maksātnespēja . Šajā nolūkā kompetentās iestādes var apsvērt vienu vai vairākus scenārijus. 6.6.3 Risku pārvaldības un kontroles novērtēšana 263. Lai panāktu visaptverošu izpratni par ieguldījumu brokeru sabiedrības riska profilu attiecībā uz riskiem, kas nav segti ar 1. pīlāra pašu kapitāla prasībām, kompetentajām iestādēm jāpārskata pārvaldības un riska pārvaldības sistēma, kas samazina citu riska avotu radīto risku. Šajā nolūkā kompetentajām iestādēm jānovērtē zemāk minētie elementi, vienlaikus ņemot vērā ieguldījumu brokeru sabiedrības darbības apjomu, būtību un sarežģītību: - a. ieguldījumu brokeru sabiedrības stratēģija pienācīgi atspoguļo līmeni, kādā ieguldījumu brokeru sabiedrība vēlas uzņemties šos riskus, un tas atbilst vispārējai vēlmei uzņemties risku;
- b. ieguldījumu brokeru sabiedrībai ir iekšējas pamatnostādnes un politika, lai nodrošinātu stabilu riska kultūru;
- c. ieguldījumu brokeru sabiedrībai ir atbilstoša sistēma tā procentu likmju riska pārvaldībai, mērīšanai, uzraudzībai un kontrolei, ko rada netirdzniecības portfeļa darbības;
- d. ieguldījumu brokeru sabiedrībai ir atbilstoša sistēma IT risku pārvaldībai, mērīšanai, uzraudzībai un kontrolei ar pietiekamiem (gan kvalitatīviem, gan kvantitatīviem) cilvēkresursiem un tehniskajiem resursiem;
- e. ieguldījumu brokeru sabiedrība ir skaidri definējusi operacionālā riska kontroles politiku un procedūras.
6.6.4 Konstatējumu un vērtējumu kopsavilkums 264. Ņemot vērā iepriekš minēto novērtējumu, kompetentajām iestādēm jāizdara secinājumi par ieguldījumu brokeru sabiedrības citiem riskiem. Šie secinājumi kopā ar riska novērtējumu, kas noteikts, pamatojoties uz 8. tabulā izklāstītajiem apsvērumiem, jāatspoguļo konstatējumu kopsavilkumā. Ja, pamatojoties uz konkrētu riska faktoru nozīmīgumu, kompetentā iestāde nolemj tos vērtēt atsevišķi, šajā tabulā sniegtie norādījumi jāpiemēro pēc iespējas analoģiski. 265. Kompetentajām iestādēm jāņem vērā visi šie faktori paralēli, nevis atsevišķi un jāizprot faktori, kas ir pamatā riskiem, kas nav segti ar 1. pīlāra pašu kapitāla prasībām . 8. tabula Uzraudzības apsvērumi, nosakot citu risku vērtējumu Riska Uzraudzības Apsvērumi par pārvaldības

To this end, competent authorities should assess the following elements while taking into account the volume, nature and complexity of the investment firm’s activities: - a. the investment firm has a sound, clearly formulated and documented risk strategy regarding trading flow, concentration and counterparty default, approved by their management body;
- b. the investment firm’s risk strategy properly reflects the investment firm’s appetite for these risks and is consistent with the overall risk appetite;
- c. the investment firm has an appropriate organisational framework for the management, measurement, monitoring and control of concentration and counterparty default risks, with sufficient (both qualitative and quantitative) human and technical resources;
- d. the investment firm has clearly defined policies and procedures for the identification, management, measurement and control of Risks-to-Firm, including limits reflecting risk appetite set by the Board;
- e. the investment firm has an appropriate framework for identifying, understanding and measuring Risks-to-Firm, in line with the investment firm’s size and complexity, and that this framework is compliant with relevant minimum requirements in accordance with the relevant EU and national implementing legislation; and
